Terms of Service

By accessing or using the services provided by TransUp Tech LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and TransUp Tech LLC.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not use our services.

To use our services, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into contracts
• Not be prohibited from receiving our services under applicable laws

During registration, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You may use our services only for lawful business purposes in accordance with these Terms. Specifically, you agree not to:

• Reverse engineer, decompile, or disassemble any portion of our platform
• Use our services for any fraudulent or illegal activities
• Circumvent any security measures or access controls
• Engage in any activity that disrupts or interferes with our services
• Use bots, scrapers, or other automated means to access our services

Any violation of these restrictions may result in immediate termination of your account.

Our services are offered under various subscription plans with different features and pricing. You agree to:

• Pay all fees associated with your selected plan
• Maintain valid payment information on file
• Authorize us to charge your payment method for recurring subscriptions

Refund requests must be submitted within 14 days of purchase and are subject to our Refund Policy. We reserve the right to modify our pricing with 30 days notice.

We collect and process personal data in accordance with our Privacy Policy, which is incorporated by reference into these Terms. Our security measures include:

• 256-bit SSL encryption for all data transmissions
• Regular security audits and vulnerability testing
• Compliance with PCI DSS standards for payment processing

You are responsible for maintaining appropriate security measures for your account credentials and devices used to access our services.

We may suspend or terminate your account immediately if we suspect:

• Violation of these Terms or applicable laws
• Fraudulent or abusive activity
• Non-payment of fees

Upon termination, you must cease all use of our services and any outstanding fees become immediately due. Certain provisions of these Terms will survive termination.

All intellectual property rights in our platform, including software, trademarks, and content, are owned by or licensed to TransUp Tech LLC. You are granted a limited, non-exclusive, non-transferable license to access and use our services according to these Terms.

You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.

Any disputes arising from these Terms shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

Notwithstanding the above, we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or prevent unauthorized use of our services.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Provide at least 30 days notice via email or in-platform notification
• Post the updated Terms with a clear revision date

Your continued use of our services after changes become effective constitutes acceptance of the modified Terms. If you disagree with the changes, you must discontinue using our services.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of those rights.
