Introduction
TransUp Tech LLC ("Company," "we," "us," or "our") provides software development, fintech management, and platform-related services, which may include payment systems, wallet solutions, mobile top-ups, gift cards, and white-label infrastructure, as described on our websites and in applicable agreements.
These Terms of Use ("Terms") apply to your use of our public websites and any online or hosted services we make available to you, except where a separate written agreement expressly supersedes these Terms.
Acceptance of Terms
By accessing or using our services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. In that case, "you" includes that entity.
Use of Services
Subject to these Terms and applicable law, we grant you a limited, non-exclusive, non-transferable right to access and use the services for their intended purpose.
You agree to use our services only in a lawful manner and in line with any posted guidelines or documentation we provide.
User Responsibilities
To use our services where registration or accounts apply, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Have the legal capacity to enter into contracts
- Not be prohibited from using our services under applicable laws
You must provide accurate, complete information when requested and keep your account credentials confidential. You are responsible for all activity under your account.
You agree not to:
- Reverse engineer, decompile, or disassemble any part of our platform except where applicable law expressly permits
- Use our services for fraudulent, illegal, or harmful activities
- Circumvent security measures or access controls
- Disrupt or interfere with our services or other users' use of them
- Use bots, scrapers, or other automated means to access our services without our prior written consent
Violations may result in suspension or termination of access.
Payments and Transactions
Fees, billing cycles, and payment methods depend on the plan or order you select and any separate agreement between you and us. Where fees apply, you agree to pay amounts when due and to maintain valid payment information if we store or charge a payment method on file.
For recurring subscriptions, you authorize us to charge the payment method on file in accordance with the terms presented at purchase, unless applicable law requires otherwise.
Refund requests, where offered, are subject to the terms communicated at the time of purchase. Unless stated otherwise:
- Refunds may be considered only if services have not been delivered as promised
- Requests should be submitted within 14 days of the purchase date where a refund policy applies
- Fees for services already consumed or used may not be refundable
We may change pricing or fees with reasonable advance notice where required by law or contract.
Intellectual Property
Our platform, software, trademarks, logos, documentation, and other materials are owned by or licensed to TransUp Tech LLC and are protected by intellectual property laws. Except for the limited right to use the services as we authorize, no rights are granted to you.
You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.
Data Privacy and Security
We process personal information as described in our Privacy Policy, which is incorporated into these Terms by reference.
We implement administrative, technical, and organizational measures designed to protect information appropriate to the nature of our services. No method of transmission or storage is completely secure; you are responsible for safeguarding your credentials and devices used to access our services.
Limitation of Liability
To the fullest extent permitted by applicable law, TransUp Tech LLC and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the services, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total liability for any claim arising out of or relating to these Terms or the services will not exceed the greater of (a) the amounts you paid us for the services giving rise to the claim during the twelve (12) months before the claim arose, or (b) one hundred U.S. dollars (USD $100), if you have not had payment obligations to us.
Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
Termination
We may suspend or terminate your access if we reasonably believe that you have:
- Violated these Terms or applicable law
- Engaged in fraudulent or abusive activity
- Failed to pay fees when due
Upon termination, you must stop using the services. Provisions that by their nature should survive (including intellectual property, limitation of liability, governing law, and dispute resolution) will survive termination.
Governing Law and Disputes
Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles, except where preempted by applicable federal law.
Dispute resolution
Except for claims seeking injunctive or equitable relief (including for protection of intellectual property or misuse of the services), any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding, subject to limited judicial review under applicable law.
Severability and waiver
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce a right or provision does not waive that right or provision.
Changes to these Terms
We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice where required (for example, by email, in-product notice, or by posting an updated version with a new "Last updated" date). Your continued use of the services after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the services.
